JMV Back Up Specific Clauses – to be read in conjunction with the Managed Services Terms & Conditions and the Manged Service Contract.

These conditions supersede any references to the back up of data in the Managed Services Terms & Conditions document.

 

  1. Definition of Terms.

1.1. “JMV,” JMV Solutions,” “we,” “us,” or “our” mean JMV Solutions Ltd.

1.2. “You,” “yourself”, “user,” “subscriber,” “client,” and “you” refer to the individual or legal entity registering for or using JMV Solutions Backup Products or Service.

1.3. JMV Software means the software licensed for your use and or installation on your network or computers for the purpose of data backup.

1.4. JMV Hardware means equipment purchased by JMV and provided for to the client for the purpose of backup services, this equipment is owned by JMV.

1.5. “Client Hardware” means a server, a desktop or laptop computer, network device, and any storage device attached to them in any fashion, that is owned by the client.

1.6. “Backup Data” includes any data you back up through use of the JMV Solutions Managed Backup Service.

1.7. “JMV Affiliate” Any company JMV Solutions use to provide a backup service.

 

  1. Backup of Data – Managed Backup Service.

2.1 Guarantee of Data Backup. JMV Solutions is responsible for backing up your data as agreed and in accordance with your Managed Service Contract. JMV Solutions does not make any further guarantee, expressed or implied, to backup any other data on or off of the client’s premises beyond the particular files and directories indicated by your Managed Service Contract.

2.2 JMV Solutions will provide status reports, to provide you with information on the condition and status of your backup data. JMV Solutions will, in addition, monitor backup status and alert you by e-mail or telephone to potential problems. It is your responsibility to verify that JMV Solutions has the correct contact information for providing any alerts about backup failure.

2.3 Data Restoration. JMV Solutions will restore data that has been backed-up when required by the client.

2.4 Failed Data Backups. JMV Solutions is committed to maintaining reliable and redundant infrastructure to store your data. JMV Solutions will normally complete your selected backup transfers as per the agreed schedule agreed in your Managed Service Contract. If the data backups are not completed within this time frame, JMV Solutions will provide a resolution to get the backups completed. This provision is restricted by the condition of your data network and all physical and Internet connectivity requirements being suitable for JMV Solutions Managed Backup Services to perform its function properly.

You are solely responsible for verifying that the necessary files to restore specialized software systems, such as databases and other data environments, are being created and are included in the data JMV Solutions is backing up for you.

2.4.1 Failed Data Backups. JMV Solutions are not liable and cannot be held responsible for failed backups where:

– There is no internet connection available to allow a scheduled Cloud backup to be performed.

– There is no power supply to JMV and or Client hardware to allow the scheduled backup to be performed.

– The client has tampered with JMV hardware and or JMV Software.

 

  1. Backup of Data – Non Managed Backup.

3.1 Guarantee of Data Backup. You are solely responsible for backing up your data as agreed and in accordance with your Manged Service Contract. JMV Solutions does not make any further guarantee, expressed or implied, to backup any client data.

3.2 JMV Solutions will provide monthly status reports, to provide you information on the condition and status of your backup data. JMV Solutions will, in addition, monitor backup status and alert you by e-mail or telephone to potential problems, however, JMV Solutions cannot be held responsible in any way if data is not backed up. It is your responsibility to verify that JMV Solutions has the correct contact information for providing any alerts about backup failure.

3.3 Data Restoration. You are solely responsible for the restore of data that has been backed-up.

 

  1. Lawful Use JMV Products or Services.

You may not use JMV Solutions and or JMV Affiliates Products or Services for any unlawful purpose. JMV Solutions Products or Services may not be used to store, backup, or distribute any data or information that is construed as illegal in accordance with the laws of England and Wales.

 

  1. Protection of Data.

Unless served with JMV Managed antivirus; and; or; JMV Managed Patching; You are solely responsible for protecting the information on your computer such as by installing anti-virus software, updating your applications, password protecting your files, and not permitting third party access to your computer. You understand that the JMV Solutions Products or Services may back up files that are no longer usable due to corruption from viruses, software malfunctions or other causes. This might result in you restoring files that are no longer usable.

 

  1. Deletion of Backup Data

If your contract with JMV Solutions for backup services expires, is terminated, is not renewed, or is otherwise discontinued for any reason, JMV Solutions may, without notice, delete or deny you access to any of your Backup Data that may remain in their possession or control.

You agree that if your contract has been terminated, expired, or otherwise lapsed for any reason, that your files may not be available should you wish to restore them.

 

  1. Invoice and Payment

Invoice and payment for all managed backup services will be made in advance at the end of each month for the following month service.
